Agreement to Terms

TH Capital is the operating brand of T&E Capital Partners LLC (Wyoming). By accessing or using thcapitalllc.com or any of our productized services (subscription or one-time), you agree to be bound by these Terms of Service. If you do not agree, do not use the services.

Description of Services

We offer three productized AI subscription services (AI Blog Engine, AI Social Presence, AI Review Manager) and one one-time service (Marketing Audit + 30-Day Action Plan, $197). All services are AI-operated with the editorial and quality controls described on our Quality page.

User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Notify us immediately at support@thcapitalllc.com if you suspect unauthorized access.

Subscriptions and Payments

• Subscriptions auto-renew on the schedule selected (monthly or annual). Annual saves 17%.
• You can cancel any time from the customer portal. Cancellation takes effect at the end of the current billing period; we don't pro-rate unused portions following voluntary cancellation.
• We do issue automatic credits when a delivery falls below our quality bar — see Quality Guarantee for the mechanics.
• One-time products (audits) are non-refundable except as required by law and the Quality Guarantee.

Acceptable Use

You agree NOT to:

• Scrape the site or its tools without written permission.
• Abuse rate-limited free tools (snapshot, demo generation) by circumventing IP throttles.
• Resell or relicense content we generate for you to third parties without substantial modification.
• Use AI-generated content for unlawful, defamatory, or infringing purposes.

Intellectual Property

We own all TH Capital software, brand materials, and the editorial content on cardgazette.com. Content we generate for you under a paid subscription becomes yours upon delivery — you can publish, modify, or repurpose it freely. Your voice profile data is yours and exportable on request.

Affiliate Disclosure Notice

Our editorial site (cardgazette.com) participates in affiliate programs. Service customers and audit clients are not subject to affiliate-driven editorial bias. See the CardGazette Affiliate Disclosure.

Disclaimers

Services are provided “as is” without warranty of any kind. We do not warrant that AI-generated content is free of errors. Customers using AI-generated content for publication are responsible for review prior to use.

Limitation of Liability

To the maximum extent permitted by law, T&E Capital Partners LLC's total liability under these Terms is capped at the fees you paid in the prior 12 months. We are not liable for indirect, consequential, special, or punitive damages.

Indemnification

You agree to indemnify T&E Capital Partners LLC against third-party claims arising from your use of the services in violation of these Terms or applicable law. We agree to indemnify you against third-party claims that our service infringes their intellectual property rights.

Governing Law

These Terms are governed by the laws of the State of Wyoming. Disputes will be resolved as described below.

Dispute Resolution

We'll first attempt informal resolution. Email legal@thcapitalllc.com with a description of the issue. If we cannot resolve within 30 days, the dispute will be settled by binding arbitration in Wyoming under the rules of the American Arbitration Association.

Modifications to Terms

We may modify these Terms. For material changes, we'll notify active customers via email at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance.

Termination

We may suspend or terminate accounts for violations or for fraudulent / abusive use. You may terminate any time from the customer portal. Cancellation does not waive obligations accrued prior to the effective date.
